Michael “MK” Kim: Michael “MK” Kim got his entrepreneurial start in Korea as a business owner operating his own chain of retail pharmacies and has amassed over 22 years of active experience as a Corporate CEO. MK is the Founder and CEO of M&A Crown Group, LLC, Severance Pharmacy & Severance Global Investments, K&S Uptown Holdings. He also holds 3 law school degrees, In Ha University School of Law in Korea , an LLM from Southern Methodist University Dedman School of Law (LLM) and another LLM from American University Washington College of Law (LLM).
MK fully understands legal matters that concern businesses, specializing in international banking and finance, corporate law, corporate finance, corporate bankruptcy, securities regulation, contracts, real estate transactions, marketing, M & A listings, private equity and/or joint venture capital transactions, international business transactions, business valuations, negotiations, and acquisition consulting services. MK has also worked with Royal & Dutch Shell Oil Company and was the Assistant Chief for a Korean Congressman. MK was the also the Owner and operator of three successful restaurants in Dallas, – Naan Sushi (2 locations) and Jaxx Steakhouse, and ultimately sold all three for a significant Return on Investment.

Christopher Claassen: Chris Claassen is a licensed Texas attorney and a graduate of SMU Dedman School of Law (JD) and Oklahoma Christian University (BA). Chris’s legal practice focused on Securities Litigation and Arbitration: he was an Associate at Burg Simpson in their Securities Litigation and Arbitration division and his article on securities law in the Berkley Business Law Journal was cited by the Ninth Circuit Court of Appeals (unpublished opinion). Chris’s professional experience also includes five years as an Investment Advisor at Morgan Stanley with responsibilities and clients that included a Morgan Stanley subsidiary’s retirement plan.
At M&A Crown Group, Chris advises clients on the acquisition and disposition of businesses and commercial income property. In doing so, Chris brings his experience and knowledge in mergers and acquisitions, corporate finance and law, contracts, real estate transactions and securities regulation.
Jason Spiritas: Jason Spiritas, a licensed practicing Texas attorney, graduated from University of Texas at Austin with a Bachelor in Business Administration (BBA: Finance; Minor: Psychology), received his Juris Doctor from Southern Methodist University, Dedman School of Law in Dallas, Texas (JD), studied International Transactions Law in Paris, France at the Sorbonne via Cornell University, earned a Certificate in Financial Planning from Southern Methodist University, Dallas, Texas, and most recently earned a Masters in Law from the University of Houston in Houston, Texas in Energy, Environment, and Natural Resources (EENR LLM).
Jason’s business career started by working on a manufacturing line for a beef processing plant in South Dallas. Prior to his departure, Jason worked his way up their corporate ladder and was eventually elected to its Board of Directors. After earning his JD, Jason was hired on as In-House Counsel for Spiritas Group, LP, a private equity investment firm and development company, focusing his career on transactional law, real estate law, oil and gas transactions, mergers and acquisitions, and contract law. Jason is also the co-owner of two independent music based companies and in his spare time does pro bono legal work in the field of entertainment.
Since joining M & A Crown Group, Jason advises clients on commercial real estate transactions, hospitality transactions, as well as provides investment analysis and valuation. Jason’s approach to investment transactions applies both a practical business sense and sharp legal focus, whether representing buyers, sellers, opportunity funds, land developers, developers in hotel transactions, joint ventures, hotel management and franchise agreements, buying, selling and ground leases, retail shopping centers, complex mixed used development, and financial structuring.

Ronda Tyler is a licensed Texas Real Estate Broker and has practiced real estate since 2006. Tyler is the Broker/Owner of Key Dimensions Realty where she, along with her team of agents, provides residential and commercial real estate services for leases, purchases, sells, and property management. Tyler also provides asset valuation services to lenders and consulting services.
Tyler received a MBA – Strategic Leadership from Amberton University in May 2003, a BBS – Business Administration from Dallas Baptist University in December 2000, and is a 2011 graduate of the Texas REALTORS® Leadership Program. In addition to being a member of various real estate associations, Tyler has earned several certifications and designations which include being a Texas Certified Leasing and Property Manager.
Tyler is actively involved in the community and serves as a board member of various profit and non-profit organizations. She has held an Adjunct Professor position at Cedar Valley College since August 2007, where she teaches real estate courses and is a member of their Real Estate Advisory Council. Bryan Kim: Bryan Kim joined M&A Crown Group in 2017 as a Partner / Acquisition Advisor focusing on the Food and Beverage industry. Bryan has 15 years of successful restaurant management experience during which time he consistently helped drive year over year same store sales growth. His experience prior to joining M&A Crown Group included working as the General Manager for NAAN Sushi Plano and Uptown responsible for hiring, training and managing a full time staff of more than 65 employees, including 3 assistant managers, supervising daily operations, driving improved customer experience and increased sales. During his time as the General Manager for NAAN Sushi, year over year same store sales grew by over 10% each year.
Bill Gardner: Mr. Gardner brings to M&A Crown Group over 35 years of diverse leadership and general management experience spanning the governmental, financial services and insurance industries, serving client companies across the United States, United Kingdom, Canada, Spain, France, Germany and Morocco. Mr. Gardner specializes in providing both strategic and tactical solutions to business challenges and, on numerous occasions, lead teams of 200+ professionals to deliver $100MM and £100MM projects – all to complete client satisfaction.
Mr. Gardner spent a significant portion of his career within MBNA where, as Executive Vice President & Director, he led a team of 300+ professionals to deliver a number of capital projects including MBNA’s subsidiary startups in Canada, Spain and the United Kingdom. During this time, Mr. Gardner worked closely with the Fair Isaac Company to implement the financial services industry’s first installations of Adaptive Control (Behavior Scoring) and the enhanced Behavior Scoring solution, Triad.
With the acquisition of MBNA by Bank of America, Mr. Gardner left MBNA to start a successful Management Consulting practice, serving numerous client companies across the United States, Western Europe and Northern Africa.
Two years following formation of his consultancy practice, Mr. Gardner expanded the business, bringing in 8 professionals to assist in the delivery of multi-million dollar capital projects to a variety of Fortune 500 busines clients.
Following the sale of his project delivery business, Mr. Gardner returned to Management Consulting where he continued his focus on assisting client companies with business process improvements and line of business expansion initiatives which most recently have produced incremental profits of $1MM per year for 2 consecutive years for one client and an overall profitability increase of over 25% for another client.
Mr. Gardner is a graduate of Southern Methodist University with a Bachelor of Applied Science in Computer Science and Mathematics and is a member of a number of technology advisory organizations including the Gerson Lehrman Group’s Technology Council and was previously a member of the Industry Advisory Board for the Computer Science and Engineering School at Southern Methodist University.
